PROVISIONS
On membership in the Ukrainian Guild of Real Estate Agents

 
1. General provisions

1.1.       Membership in the Ukrainian Guild of Real Estate Agents (hereinafter referred to as "Guild") is individual, including honorary and collective membership.
1.2.       Individual members of the Guild can be persons no less than 18 years of age who legally operate in the real estate market and/or have interests related to shaping a civilised real estate market in forms and kinds provided for by Ukrainian law in force; recognise the Charter of the Guild and agree to meet its requirements; strive to achieve the Guild's objective; and pay admission and membership fees.
1.3.       The Honorary members of the Guild can be deemed Guild members who made major contributions to development of the real estate market and the Guild, achievement of its objective and Charter tasks.
1.4.       The collective members of the Guild can be the collectives of enterprises, establishments, organisations and their associations of all forms of ownership who operate legally in the real estate market and/or have interests in shaping a civilised real estate market; accept the Charter of the Guild and agree to meet its requirements; strive to secure the objective of the Guild; and who have decided to join the Guild and pay admission and membership fees. Collective members realise their rights and obligations through their representatives.
1.5.       The Convention of the Guild can recognise an individual member of the Guild as an Honorary member of the Guild. The decision is made by a simple majority vote.
1.6.       Individual and collective members are admitted at Local Centres by a simple majority vote with subsequent notification thereof to the Council of the Guild. Should a Local Centre be absent, the Council of the Guild admits members.
1.7.       The Founders of a Guild are the members of the respective Local Centre.

2. Procedure of admitting individual members to the Guild

2.1. Individual members are admitted to the Guild by Local Centres on submission of a personal written application to the President of the Guild. The application is filed with the Local Centre.
2.2. A decision on admitting individual members of the Guild is made at the General Meeting of the Local Centre by a simple majority vote.
2.3. During admission to the Guild, the candidate is given the following documents for review:

·                               The Guild Charter;
·                               The Provisions on Guild Membership;
·                               The Provisions on the respective Local Centre;
·                               The Code of Ethics of the Guild member;
·                               The blank of the application for admission to the Guild;
·                               A blank of a questionnaire (for filling in).

If required, other information about the Guild can be presented.

2.4. During admission of individual members to the Guild, the candidate submits the application and filled in questionnaire to the Head of the Local Centre.
2.5. According to para. 2.2., the Head of the Local Centre puts the issue on admitting a candidate to Guild membership on the agenda of the General Meeting of the Local Centre.
2.6. In case of admitting a candidate to Guild membership, the Head of the Local Centre submits the copies of documents submitted as per para. 2.4. to the Council of the Guild.
2.7. If the Local Centre rejects an application for membership, or if a Local Centre is absent, the candidate can submit the application and documents to the Executive Director of the Guild who submits these documents for review to the Council of the Guild. The Council of the Guild puts this issue on the agenda of the next meeting. A decision is made by a simple majority vote.

3. Procedure of admitting collective members of the Guild

3.1. Collective members are admitted to the Guild by Local Centres on submission of an application by a representative of an enterprise, institution, organisation, and so forth to the President of the Guild. The application is filed with the Local Centre.
3.2. The decision on admitting collective members of the Guild is made at the General Meeting of the Local Centre by a simple majority vote.
3.3.  During admission of collective members to the Guild, the candidate is given the following documents for review:

·                               The Guild Charter;
·                               The Provisions on Guild Membership;
·                               The Provisions on the respective Local Centre;
·                               The Code of Ethics of the Guild member;
·                               The blank of the application for admission to the Guild as a collective member;
·                               A blank of a questionnaire (for filling in).

         If required, other information about the Guild can be presented.

3.4. During admission of collective members to the Guild, the candidate submits the following documents to the Head of the Local Centre:

·                               An application;
·                               An excerpt from the protocol of the governing body on election of a Director; in case of a private company, an order on appointment of a Manager;
·                               A copy of the Charter and Certificate of registration of an enterprise (organisation);
·                               The minutes of the General Meeting (decision of founders) on joining the Guild; and
·                               A filled in questionnaire.

3.5. According to para. 3.2. the Head of the Local Centre puts the issue on admitting a candidate to Guild membership on the agenda of the General Meeting of the Local Centre.
3.6. In case of admitting a candidate to Guild membership, the Head of the Local Centre submits the copies of documents as per para. 3.3 to the Council of the Guild.
3.7. If the Local Centre rejects an application for membership, or if a Local Centre is absent, the candidate can submit the application and the file of documents to the Council of the Guild for review. The Council of the Guild puts this issue on the agenda of the next meeting. A decision is made by a simple majority vote.

4. Procedure of recognising Honorary members of the Guild

4.1. The decision on recognising Honorary members of the Guild is initiated by the Council of the Guild.
4.2. Honorary members of the Guild are recognised by the Convention of the Guild.

5. Procedure of paying membership fees

5.1. The admission and first membership fees for six months shall be paid in ten calendar days after a decision has been made on admission to Guild membership.

Later, membership fees shall be paid in 15 calendar days since the beginning of the following six-month term.

6. Procedure of cancellation of Guild membership

6.1. Guild membership can be cancelled by voluntary leaving or by expelling from Guild membership.
6.2. A Guild member can voluntarily leave Guild membership by submitting an application to the Local Centre, and if there is no Local Centre, the application is submitted to the Council of the Guild.
6.3. Members are expelled from Guild membership by the Local Centre, and if there is no Local Centre, this is done by the Council of the Guild. The decision is made by a simple majority vote.
6.4. Should the Guild member disagree with the decision of the Local Centre or Council of the Guild on his expulsion from Guild membership, the member can appeal this decision in 30 days, respectively, to the Council of the Guild or the Convention of the Guild as the supreme statutory body of the Guild. The resolution of the Convention shall be final.
6.5. The grounds for expulsion of Guild members are as follows:

·           violation of Charter requirements;
·           engaging in activities harming the interests of the Guild;
·           failing to pay the membership fee in one month since the due date of paying for the next six-month term; and
·           gross violation of the Code of Ethics of the Guild member.
